
Terms and Conditions
Partnera Inc (Pvt) Ltd with company address at Orion City, Level 3, 752/5 Dr Danister De Silva Mawatha, Colombo 09., and trading as “Partnera” (hereunder referred to as Partnera, we or us)
- Services Offered:
The Partnera agrees to provide staff, technology, reliable and faster broadband service, payroll service to the client.
Detailed descriptions of the services, including service levels, are outlined in the Service Level Agreement (SLA).
- Service Levels:
The SLA will define performance metrics, response times, and other relevant service levels.
The Partnera commits to meeting or exceeding the agreed-upon service levels.
- Confidentiality:
Both parties agree to maintain the confidentiality of each other’s proprietary information.
The Partnera will implement measures to ensure data security and prevent unauthorized access to client information.
- Data Protection and Compliance:
The Partnera will comply with all applicable data protection laws and regulations.
Processes and measures will be implemented to safeguard sensitive information and ensure compliance with relevant industry standards.
- Reporting and Monitoring:
The Partnera will provide regular reports on service performance, key metrics, and other relevant data.
Client access to monitoring tools and real-time reporting may be provided as per the agreement.
- Payment Terms:
Payment terms, including rates, invoicing schedules, and any additional fees, are outlined.
Late payment penalties and procedures are detailed in case of payment delays.
- Term and Termination:
The duration of the agreement is specified.
Terms for termination, including notice periods and conditions for early termination, are outlined.
- Intellectual Property:
Ownership of intellectual property developed during the provision of services is clearly defined.
Both parties agree not to use each other’s intellectual property without prior written consent.
- Insurance:
The Partnera agrees to maintain appropriate insurance coverage for its operations.
The client may specify minimum insurance requirements.
- Dispute Resolution:
Procedures for resolving disputes, including mediation or arbitration, are outlined.
Governing law is specified for legal purposes.
- Force Majeure:
Both parties are relieved of their contractual obligations in the event of force majeure events beyond their control.
- Non-Solicitation:
The Partnera agrees not to solicit the client’s employees or clients for a specified period after the termination of the agreement.
- Miscellaneous:
Any additional terms, such as governing law, amendments, or notices, are included in this section.
- Governing Law and Jurisdiction:
The agreement is governed by the laws of The Social Republic of Sri Lanka, and any disputes are subject to the exclusive jurisdiction of the courts in that jurisdiction.
